1 Acceptance of these Terms

These Terms of Use (the “Terms”) form a legally binding agreement between you (“you”, “user”) and VerSe Innovation, a company incorporated under the laws of India with its registered office in Bengaluru, Karnataka (“SparkStation”, “we”, “us”, or “our”), governing your access to and use of the website located at sparkstation.ai and all related applications, APIs, tools, and services (together, the “Service”).

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Cookie Notice, which are incorporated by reference. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to that organisation. If you do not agree to these Terms, you must not use the Service.

2 The Service & licence to use it

SparkStation.ai is an artificial-intelligence platform that helps you turn written stories, scripts, and prompts into generated video, imagery, characters, and related audiovisual content through modules such as the Story Builder, Casting Director, and Camera & Rig movement tools.

Subject to your continued compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your personal or internal business purposes. We may set, and change, usage limits (including generation quotas, rate limits, and storage limits) with or without notice to protect the Service and our users.

All rights not expressly granted to you are reserved by us and our licensors.

3 Eligibility & accounts

3.1 Age

The Service is intended only for users who are at least 18 years old, or the age of majority in their jurisdiction. By using the Service you represent that you meet this requirement. The Service is not directed to children, and we do not knowingly permit anyone under 18 to create an account.

3.2 Registration

To access most features you must create an account with a valid email address and accurate, complete information. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Notify us promptly at contact@sparkstation.ai of any unauthorised use. We may refuse, suspend, or cancel an account if information provided is false, incomplete, or outdated.

4 Your content & AI-generated outputs

4.1 Definitions

“Inputs” means the text, prompts, scripts, images, audio, video, and other material you submit to the Service. “Outputs” means the content the Service generates from your Inputs. “Your Content” means your Inputs and Outputs together.

4.2 Ownership

As between you and us, you retain all ownership rights you hold in Your Content. We do not claim ownership of your Inputs or Outputs, except for enterprise customers whose separate written agreement governs.

4.3 Licence you grant to us

To operate, provide, secure, and improve the Service, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, display, and create derivative works of Your Content, solely as needed to deliver the Service to you, to enforce these Terms, to comply with law, and to maintain safety and security.

4.4 Your responsibility for Inputs

You represent and warrant that you own or have all necessary rights, consents, and permissions to submit Your Content and to grant the licence above, and that Your Content and its use through the Service do not infringe any third party’s intellectual property, privacy, publicity, or other rights, and do not violate any law. Where your Inputs depict a real, identifiable person, you confirm you have that person’s consent.

4.5 Outputs

Because of the nature of generative AI, Outputs may not be unique, other users may receive similar or identical results from similar prompts, and we make no warranty that Outputs are original or non-infringing. You are solely responsible for reviewing Outputs before you use, publish, or distribute them.

5 Acceptable use

You agree not to use the Service, and not to allow anyone else to use the Service, to:

• create, upload, or distribute content that is unlawful, defamatory, obscene, harassing, hateful, or that incites violence;
• generate sexual content involving minors, or any content that sexualises, exploits, or endangers children;
• create non-consensual intimate imagery, or realistic depictions of identifiable people intended to deceive, defame, or harass (including harmful deepfakes);
• impersonate any person or entity, or misrepresent AI-generated content as authentic in a way that is deceptive or fraudulent;
• infringe the intellectual property, privacy, or publicity rights of others;
• generate spam, malware, phishing, or other malicious or deceptive material;
• attempt to circumvent, disable, or defeat safety systems, content filters, or usage limits, including through “prompt injection” or “jailbreaking”;
• reverse engineer, scrape, or use automated means to access the Service except through documented APIs, or artificially inflate usage;
• resell, sublicense, or provide the Service to third parties except as expressly permitted; or
• use the Service in any way that violates applicable law, including the laws of India and any export-control or sanctions laws.

We may review, moderate, refuse, or remove content and may report unlawful activity to authorities. Violations may result in suspension or termination under Section 13.

6 Intellectual property

The Service, including its software, models, design, text, graphics, logos, and the “SparkStation” and “SparkStation.ai” marks, is owned by us or our licensors and is protected by copyright, trademark, and other laws. Except for the limited licence in Section 2, these Terms do not grant you any right, title, or interest in the Service or our intellectual property. You may not use our marks without our prior written permission.

If you believe content on the Service infringes your intellectual property rights, contact us at contact@sparkstation.ai with sufficient detail to identify the work and the allegedly infringing material, and we will respond in accordance with applicable law.

7 Third-party services & models

The Service may integrate or rely on third-party technologies, AI models, payment processors, and websites. We are not responsible for third-party services, and your use of them may be subject to their own terms and privacy policies. Links to third-party sites are provided for convenience and do not imply endorsement.

8 Subscriptions, credits & billing

Parts of the Service are offered on free and paid tiers. Paid plans may be sold as recurring subscriptions and/or as consumable generation credits. Prices, features, and quotas for each tier are described at the point of purchase and may change as described below.

• Auto-renewal. Subscriptions renew automatically at the end of each billing cycle at the then-current price, unless you cancel before the renewal date. You authorise us and our payment processors to charge your payment method on each renewal.
• Credits. Generation credits are consumed as you use the Service and, unless stated otherwise, are non-transferable and may expire at the end of a billing cycle.
• Price changes. We may change prices. We will give you at least 30 days’ notice of a price increase that would apply to your renewal, and the new price applies from your next billing cycle.
• Taxes. Prices are exclusive of applicable taxes (including GST) unless stated otherwise; you are responsible for such taxes.

9 Cancellation & refunds

You may cancel a subscription at any time from your account settings; cancellation stops future renewals and takes effect at the end of the current paid period. Except where required by law, payments are non-refundable. As a goodwill measure, we may provide a refund of a new subscription charge if you request it within 7 days of that charge and you have not consumed any credits or generated content during that period. Statutory rights that cannot be waived are unaffected.

10 Disclaimers

We do not warrant that Outputs are accurate, complete, current, lawful, or suitable for any purpose. Generative AI can produce results that are incorrect, biased, or unexpected, and you are responsible for evaluating Outputs before relying on them.

11 Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the total amounts you paid us for the Service in the three (3) months immediately before the event giving rise to the claim, or (b) INR 8,000. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

12 Indemnification

You agree to indemnify, defend, and hold harmless SparkStation and its affiliates and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with: (a) Your Content; (b) your use of the Service; (c) your breach of these Terms; or (d) your violation of any law or third-party right.

13 Suspension & termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your licence to use the Service ends and we may delete Your Content, subject to our Privacy Policy and legal retention requirements. Sections that by their nature should survive termination (including Sections 4, 6, 10, 11, 12, 15, and 16) will survive.

14 Changes to the Service & these Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. If we make material changes, we will notify you by email or through the Service and update the “Last updated” date above. Changes take effect when posted, or on a later effective date we specify. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15 Governing law & disputes

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Subject to the arbitration provision below, the courts at Bengaluru, Karnataka, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

Any dispute, controversy, or claim arising out of or relating to these Terms, including its breach, termination, or validity, that cannot be resolved amicably within 30 days, shall be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Bengaluru; the tribunal shall consist of a sole arbitrator mutually appointed by the parties; and the language of arbitration shall be English. To the extent permitted by law, disputes will be resolved on an individual basis, and you and we waive any right to participate in a class or representative action.

16 General provisions

Entire agreement. These Terms, together with the Privacy Policy and Cookie Notice and any plan-specific or enterprise terms, are the entire agreement between you and us regarding the Service. Severability. If any provision is held unenforceable, the remaining provisions remain in effect. No waiver. Our failure to enforce a provision is not a waiver. Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control. Notices. We may give notices by email or through the Service.
